Merger between Constellation and Australian Vintage is off

Constellation Brands has announced that the protracted merger talks with Australian Vintage have ended. Constellation Brands has confirmed that it and Australian Vintage Ltd (AVL) have ended discussions for the potential combination of a portion of Constellation's Australian and UK wine operations with AVL. Constellation's President and CEO Rob Sands is quoted as saying: "There were a number of goals both parties were attempting to accomplish through the combination. Over time, it became evident that despite both parties' best efforts we were not going to be successful in accomplishing all these goals. Therefore, we mutually decided it was in the best interest of Constellation and AVL to discontinue our discussions and focus on our respective businesses." [...more]

Constellation Brands, Inc. the world's leading wine company, announced today that it has successfully amended its Senior Credit Facility to extend a portion of its revolving credit facility until June 2013, which was otherwise due to expire in June 2011, and extend $300 million of its $1.2 billion term loan. In addition, the company announced that it intends to give notice to call, without penalty on Feb. 25, 2010, all $250 million of its 8 1/8 percent senior subordinated notes due Jan. 15, 2012. Constellation Brands Beats Street But Beer Fizzles

NEW YORK- U.S. wine and spirits maker Constellation Brands Inc reported a better-than- expected quarterly profit on Thursday as it cut costs, but investors remained concerned by the disappointing results of a joint venture with Mexico's leading brewer. Constellation's shares were down 0.6 percent in early afternoon trade. The company, whose wine brands include Robert Mondavi, Clos du Bois and Ravenswood, said sales of its branded wines and the beers it imports had fallen in North America. The company's sales and profit margins have suffered as many consumers seek out lower-priced drinks in the economic downturn. But Constellation has pruned its portfolio, closed some facilities, cut jobs and consolidated distribution as it aims to reduce its debt load, steps that are beginning to pay off, an analyst said. Constellation Wines North America CEO dies

Jose Fernandez, CEO of Constellation Wines North America, has died after a fight with brain cancer, parent company Constellation Brands Inc. said Monday. He was 54. The wine company said in a statement that Fernandez died Jan. 1. Fernandez joined Constellation Brands in 2001 and was named CEO of the North America unit in 2007. He was a 30-year veteran of the wine industry. Constellation's brands include Robert Mondavi, Clos du Bois, Blackstone, Ravenswood and others, as well as Black Velvet Canadian Whisky and SVEDKA Vodka. The president of the company's North American division, Jay Wright, will continue to run the unit. Wright assumed the role on Dec. 1. [...more]

Constellation – Australian Vintage deal “50/50″ – says McGuigan

The proposed deal that would see Australian Vintage (AVL) - formerly McGuigan Simeon Wines - merge with Constellation's operations in the UK and Australia is far from being a done deal, the company stated this week. AVL general manager for UK & Europe, Paul Schaafsma, said: "There's a lot of ifs and buts at this stage, but if the deal goes ahead we will take a controlling interest in Constellation's operations in Australia and the UK." This, he said, would cover all aspects including vineyards, production and distribution for all Constellation's brands, including Hardys and Banrock Station. [...more]

Simon Thorpe quits Constellation

Simon Thorpe MW is quitting Constellation Europe to become managing director of Australian fine wine importer Negociants UK. In a surprise move Thorpe is leaving his job at the helm of wine development at Constellation Europe to take up the post with the New World wine specialist on December 14. Thorpe said: 'I'm absolutely delighted to be joining Negociants UK. It is a business that represents wineries which encapsulate all that is great about the Australian wine industry. Innovative, diverse, bold, and, above all, quality driven, the breadth and excellence of the portfolio of wineries and brands is what has brought me to work with this fantastic family owned business." Constellation Promotes Jay Wright to President of North American Wine Business

The company also announced that Jose F. Fernandez, chief executive officer (CEO) of CWNA, has begun a leave of absence due to personal medical reasons. A native of Montreal, Wright was named executive vice president and chief commercial officer of CWUS in March, 2009. Prior to the post, he served as president of Vincor Canada for seven years. A graduate of Queen's University in Canada, Wright held management positions at Molson, Nabisco, and Procter & Gamble in Canada and at Borden Foods Corporation in the U.S. In his current role, Wright reports to Rob Sands, president and CEO of Constellation Brands, Inc. and will continue to do so in his new role.
